Orbiq(TM) Terms

1) Agreement to Terms

These Terms of Service ("Terms") form a legally binding agreement between you and FINARO CAPITAL SERVICES INC. ("FINARO", "we", "us", "our"), a company incorporated in Canada and the operator of Orbiq, regarding your access to and use of the Services. If you do not agree to these Terms, you must not access or use the Services.

2) Eligibility and Authority

• You represent that you are legally capable of entering into a binding agreement.
• If using the Services on behalf of an organization, you represent that you have authority to bind that entity.
• You are responsible for ensuring your use of the Services is lawful in your jurisdiction.

3) Geographic Restrictions

The Services are controlled and operated from Canada. Access may be restricted or blocked in regions subject to legal, regulatory, security, or sanctions-related limitations. You may not use the Services if such use would violate applicable trade, export-control, or sanctions laws. Orbiq may suspend or deny access where required to comply with applicable law or risk controls.

4) Account Registration and Security

• You must maintain accurate, complete, and current account information.
• You are responsible for all activity occurring under your account credentials and sessions.
• You must use reasonable safeguards to protect your devices and authentication methods.
• You must promptly notify Orbiq of suspected unauthorized access or security incidents.

Note: Orbiq utilizes Axiom for high-performance, immutable auditing, ensuring every administrative action is logged and protected against tampering—fulfilling PIPEDA's principle of accountability.

5) License and Permitted Use

Orbiq grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for internal personal or household financial management purposes. No ownership interest in the Services is transferred to you. You may not resell or commercially exploit the Services without written authorization.

6) Prohibited Conduct

• Reverse engineering, probing, scraping, or attempting to bypass technical safeguards.
• Interference with service integrity, availability, rate limits, or security controls.
• Uploading unlawful, infringing, malicious, or unauthorized data.
• Using the Services for fraudulent, deceptive, or unlawful activity.

7) Billing, Trials, and Renewals

• Paid plan terms and trial periods are presented in product billing screens.
• Unless explicitly stated otherwise, pricing is displayed in CAD.
• Payment processing may involve third-party processors, including Stripe and PayPal.
• Failure to satisfy payment obligations may result in read-only functionality, suspension, or termination.

8) User Data, Content, and Privacy

You retain rights to your uploaded files and account data. You grant Orbiq a limited right to host, process, and display that data solely to operate and secure the Services.

• You represent that you have rights to upload and process any data you submit.
• Orbiq is engineered for PIPEDA alignment; we strip PII locally before AI processing and support your "Right to Erasure" via our Total Wipe feature.
• Privacy safeguards are described at orbiq.online/legal, incorporated by reference.
• You remain responsible for source file accuracy and local endpoint security.

9) AI and Informational Outputs

AI categorization and insights are informational tools and may contain inaccuracies. Our AI engine leverages Groq with Zero Data Retention (ZDR), ensuring that your data is processed in RAM and never stored for training.

• The Services do not constitute legal, tax, accounting, or financial advisory services.
• You are solely responsible for decisions taken in reliance on Service outputs.

10) Third-Party Services and Dependencies

Certain functionality depends on third-party services. Orbiq is not responsible for outages, policy changes, or service interruptions originating from third-party providers.

11) Service Changes, Suspension, and Termination

• Orbiq may modify, suspend, or discontinue any feature at any time where permitted by law.
• Orbiq may suspend or terminate access for violations of these Terms or security risks.
• You may discontinue use at any time; termination does not relieve accrued payment obligations.

12) Intellectual Property

The Services, software, trademarks, and logos (including the Orbiq™ name and brand) are owned by FINARO CAPITAL SERVICES INC. or its licensors and protected by IP laws. Except as expressly granted, all rights are reserved.

13) Disclaimer of Warranties

To the maximum extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability or fitness for a particular purpose.

14) Limitation of Liability

Orbiq and its affiliates will not be liable for indirect, incidental, consequential, or exemplary damages, or loss of profits arising from the Services. Where liability cannot be excluded, aggregate liability is limited to amounts paid by you to Orbiq in the preceding 12 months.

15) Indemnification

You agree to defend and hold harmless Orbiq from claims, damages, and expenses arising out of your use of the Services, your data, or your breach of these Terms.

16) Governing Law and Dispute Venue

These Terms are governed by the laws of Ontario and the federal laws of Canada. Courts located in Ontario, Canada have exclusive jurisdiction over disputes.

17) Changes to Terms

Orbiq may revise these Terms from time to time. Updated Terms become effective upon publication to this page. Continued use constitutes acceptance of the revised Terms.
